1. Acceptance of Terms

By accessing or using the Majormatic platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Service.

If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

These Terms apply to all users of the Service, including individuals, team members, and enterprise account holders.

2. Description of Services

Majormatic provides a governed AI execution platform that enables users to run structured applications ("Apps") available through Appstream. The Service includes:

  • Access to the Majormatic application platform at majormatic.com
  • The ability to browse, select, and execute Apps via Appstream
  • Execution governance, validation, and audit trail functionality
  • Account management, billing, and usage tracking
  • API access (on applicable plans)

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable for any modification, suspension, or discontinuation of the Service.

3. Accounts & Registration

To access the Service, you must register for an account. You agree to:

  • Provide accurate, current, and complete registration information
  • Maintain and update your information to keep it accurate
  • Keep your password confidential and not share it with others
  • Notify us immediately of any unauthorised use of your account
  • Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Acceptable Use

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service for any unlawful purpose or in violation of applicable laws
  • Attempt to bypass, disable, or circumvent governance or security controls
  • Use the Service to process data you are not authorised to process
  • Reverse-engineer, decompile, or attempt to extract source code
  • Use automated scripts to access the Service in ways that damage performance
  • Resell or sublicense access to the Service without written permission
  • Submit inputs that violate third-party intellectual property rights
  • Use the Service to generate outputs intended to deceive or defraud

Violation of acceptable use terms may result in immediate suspension or termination of your account without refund.

5. Supervision & User Responsibility

The Service is designed as governed execution infrastructure. You acknowledge and agree that:

  • All outputs produced by the Service are drafts until you explicitly acknowledge them
  • By acknowledging an output, you accept professional and legal responsibility for its use
  • The platform does not provide legal, financial, medical, or other regulated professional advice
  • You are responsible for reviewing outputs before acknowledgement and professional use
  • AI outputs may contain errors and must be verified by appropriately qualified persons
  • You must comply with all professional obligations applicable to your field when using outputs
Important: Majormatic is a tool to assist qualified professionals. It does not replace professional judgement. You remain fully responsible for any outputs you acknowledge and use professionally.

6. Billing & Payment

Majormatic operates on a prepaid, wallet-based model. There are no recurring subscriptions or monthly commitments. When you add funds to your wallet, payments are processed securely by our payment provider. We store transaction records and processor tokens, but we do not store card numbers directly.

  • Prices are stated in GBP and exclude VAT where applicable
  • Each execution deducts from your prepaid wallet balance at the per-run rate shown before you confirm
  • Wallet balance does not expire automatically, but is subject to account configuration and service terms
  • Account tier changes take effect as configured and do not require a billing cycle
  • We reserve the right to change pricing with 30 days' notice to existing account holders
  • Refunds on wallet top-ups are provided at our discretion in cases of demonstrable platform failure or billing error

7. Intellectual Property

Our IP

The Service, including its software, design, content, and trademarks, is owned by Majormatic Ltd and protected by intellectual property laws. You may not copy, modify, or distribute our intellectual property without written permission.

Your Content

You retain ownership of inputs you provide to the Service. By submitting inputs, you grant us a limited licence to process them for the purpose of delivering the Service.

Outputs

Subject to your compliance with these Terms and applicable laws, you own outputs generated through your executions. You are responsible for ensuring that your use of outputs complies with all applicable laws and professional obligations.

App Developer Content

App developers retain ownership of their app specifications. By publishing to Appstream, developers grant us a licence to make their apps available to platform users in accordance with Developer Terms.

8. Confidentiality

We will treat inputs you submit to the Service as confidential, consistent with our Privacy Policy. We will not use your inputs or outputs for training AI models without your explicit consent.

You agree to keep confidential any non-public information about the Service, including pricing information provided under a specific agreement.

9. Limitation of Liability

To the fullest extent permitted by applicable law:

  • The Service is provided "as is" without warranties of any kind, express or implied
  • We do not warrant that the Service will be uninterrupted, error-free, or meet your specific requirements
  • We are not liable for the accuracy, completeness, or fitness for purpose of any outputs generated
  • Our total liability to you in any 12-month period is limited to the fees you paid in that period
  • We exclude liability for indirect, incidental, or consequential losses

Nothing in these Terms excludes liability for death or personal injury caused by our negligence, fraud, or any other liability that cannot be excluded by law.

10. Termination

You may close your account at any time through your account settings. Any remaining wallet balance at the time of closure is subject to our refund policy. Closure of your account does not require cancellation of any subscription, as Majormatic does not operate on a subscription model.

We may suspend or terminate your access immediately if you:

  • Violate these Terms or our acceptable use policy
  • Fail to pay applicable fees
  • Engage in conduct that harms the platform or other users
  • Are subject to legal proceedings that affect your account

Upon termination, your right to access the Service ceases. Audit logs and data are retained as required by law and our Privacy Policy. You may request export of your data before termination.

11. Governing Law & Disputes

These Terms are governed by the laws of England and Wales. Any disputes arising from or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Before initiating formal legal proceedings, we encourage you to contact us to resolve disputes informally. Most concerns can be addressed through our contact page.

12. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated to account holders by email at least 30 days before taking effect.

Continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and close your account.
